Terms of Use

These Terms of Use ("Terms") govern your access to and use of TerraLekha's platform, website, and services. By using TERRALEKHA, you agree to these Terms. If you do not agree, do not use the service.

1. The service

TERRALEKHA provides a cloud-based carbon accounting platform that reads emission-relevant data from your accounting software, calculates embedded greenhouse gas emissions, and generates CBAM-compliant PassPort documents for Indian MSME exporters. The service is operated by TERRALEKHA ("we", "us", "our").

2. Eligibility

You must be a business entity or an authorised representative of a business entity to use TERRALEKHA. By using the service, you represent that you have the authority to bind your organisation to these Terms.

3. Your data and our role

You retain ownership of all data you provide to TERRALEKHA, including accounting records, emission activity data, and business information. You grant TERRALEKHA a limited licence to process this data solely for the purpose of delivering the service.

4. PassPort and verification

A TERRALEKHA PassPort is a carbon accounting document generated from your data and co-signed by an accredited third-party verifier. The PassPort represents the verified emissions data at the time of generation. It is your responsibility to ensure the reporting period, production volume, and CN code information is correct before PassPort generation.

Verification is performed by an independent accredited body. TERRALEKHA facilitates the verification process but does not itself constitute an accredited verification body under EU Regulation 2023/956 or ISO 14065:2020.

5. Pricing and payment

Your first PassPort is provided free of charge. Subsequent PassPorts are charged at ₹499 per PassPort, or as otherwise agreed in writing. ClearPath subscription pricing is agreed individually. Prices are exclusive of applicable taxes. Payment terms are communicated at the time of service.

6. Acceptable use

You agree not to:

• Provide false or misleading data to generate a PassPort.
• Use TERRALEKHA to generate fraudulent CBAM documentation.
• Attempt to reverse-engineer, copy, or reproduce the platform.
• Share your account credentials with unauthorised parties.
• Use the service in a way that violates any applicable law.

Violation of these terms may result in immediate suspension of your account and, where applicable, reporting to relevant authorities.

7. Intellectual property

TERRALEKHA, the TERRALEKHA wordmark, the ledger glyph, and all associated brand elements are the intellectual property of TERRALEKHA. The underlying calculation methodologies, software, and platform are proprietary. You may not reproduce, distribute, or create derivative works without written permission.

LedgerLib, our cryptographic sealing library, is released under the MIT licence and remains separately available as open source.

8. Limitation of liability

TERRALEKHA provides the platform and PassPort on an "as is" basis. To the maximum extent permitted by law, TERRALEKHA is not liable for:

• Any CBAM regulatory penalties arising from your PassPort data.
• Decisions made by EU customs, importers, or regulatory bodies based on your PassPort.
• Loss of business, revenue, or contracts arising from PassPort content.
• Service interruptions beyond our reasonable control.

Our total liability in any matter shall not exceed the amount paid by you to TERRALEKHA in the 12 months preceding the claim.

9. Governing law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

10. Changes to these Terms

We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the revised Terms.
